Version 2026-11-01. Effective November 1, 2026.
This agreement covers your PermitLogic subscription: what you pay, how renewal and cancellation work, who owns your data, and what each of us is responsible for. In it, “TriLumen Systems,” “we” and “us” mean TriLumen Systems, the maker of PermitLogic. “You” means the business that holds the PermitLogic account and the person who accepts this agreement on its behalf.
This agreement works alongside our Terms of Service and Privacy Policy.
1. The agreement and who accepts it
You accept this agreement when you tick the box at sign-up that says you agree to it, or when you accept it later in the app. From then on it applies to your use of PermitLogic: the web app at pro.permitlogicai.com, any branded web address that comes with your plan (such as yourcompany.permitlogicai.com), and the PermitLogic apps for iPhone, iPad and Android (together, the “Service”).
If you accept for a business, you confirm that you have the authority to bind that business, and the business is the party to this agreement. If you don't have that authority, or you don't agree, don't create the account.
PermitLogic is for business use. You must be at least 18 to accept this agreement.
2. Accounts, users and seats
The person who creates the account is its owner. The owner, and any admins the owner appoints, manage the account: billing, plan changes, users, roles and connected services. You are responsible for everything done under your account, including by the users you invite.
Each user needs their own sign-in. Seats are for named people and can't be shared. Keep passwords and sign-in codes private, turn on two-step sign-in where it's offered, and tell us right away at [email protected] if you think someone has got into your account.
When you invite someone, you are responsible for making sure they follow this agreement, and for removing their access when they leave your business. Professional includes one user. Company plans include the number of users shown on our pricing page, plus free read-only viewers, and you can add more users at the per-user price for your plan.
3. Plans, fees and automatic renewal
You buy a plan on the web, and payments are processed by Stripe. We don't store your card details. You agree to pay the prices shown at checkout or on our pricing page for your plan, any extra users you add, and any setup fee that applies.
Your subscription renews automatically. Monthly plans renew every month and yearly plans renew every year, and we charge the payment method on file at the start of each new period, until you cancel. Enterprise and Enterprise Plus are company plans with a 1-year term, billed monthly or yearly. The term renews for another year at the end of each term unless you cancel before the renewal date. You can cancel at any time in Settings → Billing. The price, billing period and renewal date are shown at checkout and in Settings → Billing.
Price changes. We may change our prices. We'll tell you by email at least 30 days before a new price applies to you. A new price starts with your next billing period, or for company plans with your next term. If you don't want to pay the new price, cancel before it takes effect.
Plan changes. You can upgrade or add users at any time, and we charge the difference for the rest of the period. On company plans, users you add stay on your plan for the rest of the current term, and a downgrade or a reduction in users takes effect at your next renewal.
Setup fee. Company plans billed monthly include a one-time setup fee, shown on our pricing page. It's waived on company plans billed yearly. Setup covers your data import, branding and team training, and may be delivered by our setup partner, TriLumen Systems. The setup fee is refundable until setup starts.
Taxes. Prices don't include taxes. You pay any sales, use or similar taxes that apply to your purchase, other than taxes on our income.
Failed payments. If a payment fails, we'll tell you and try again. You can update your payment method in Settings → Billing. If the payment is still not made after we've told you, we may suspend your account until it is. Your data stays in place while your account is suspended for non-payment, and access returns once you've paid.
4. Cancelling and refunds
You can cancel at any time in Settings → Billing, or by emailing [email protected]. Cancelling stops your subscription from renewing. You keep access until the end of the period you've paid for.
For company plans, cancelling stops the next renewal. Your plan stays active until the end of the current 1-year term, and if you pay monthly, the remaining monthly payments for that term are still due.
We don't give refunds or credits for partial periods, unused users or unused reports, except where the law requires it or where this agreement says otherwise (such as a setup fee before setup starts).
5. Your data
“Your data” means the information you and your users put into PermitLogic: jobs, leads, estimates, change orders, invoices, client details, logs, photos and files. Your data belongs to you.
You give us permission to store, process, copy and display your data only as needed to provide, secure and support the Service for you, and to carry out your instructions, such as sending an estimate to a client or syncing an invoice to QuickBooks. We don't sell your data, and we don't use it for any other purpose. We may use counts and usage measurements that don't identify you or your clients to run and improve the Service. Our Privacy Policy explains how we handle personal information.
You can export your data using the export tools available on your plan, or ask us for an export at any time. When your account ends, we keep your data for 30 days so you can export it, then delete it. Copies in routine backups roll off in the normal backup cycle.
You are responsible for the accuracy of your data and for having the right to put it into PermitLogic.
6. Your clients, messages, signatures and payments
Your clients. PermitLogic lets your clients follow their job, and approve and sign estimates and change orders, through a client portal, a private link or the free Sully app. Your relationship with your clients is yours. Your contracts, prices, work, warranties, permits and disputes with clients are between you and them, and we are not a party to them.
Client information. You confirm that you have the right to enter your clients' information into PermitLogic and to use it the way you do, and that you have given them any notices the law requires.
Messages. Texts and emails you send through PermitLogic, including reminders we send on your behalf, are sent as your business. You are responsible for having each recipient's consent where the law requires it, for honoring opt-outs, and for following the laws that apply to calls, texts and email, such as the Telephone Consumer Protection Act and the CAN-SPAM Act.
Signatures. When you collect signatures from clients through PermitLogic, you are responsible for making sure electronic signatures are right for that document and for meeting any consent, disclosure or contract requirements that apply to your transactions with your clients.
Payments from your clients. You can take card and bank payments from your clients through Stripe Connect. To do that, you open a Stripe account and agree to Stripe's own terms, which form a contract between you and Stripe. We are not a party to your payments and don't hold your funds. Stripe's fees apply, as does any PermitLogic fee on online payments shown on our pricing page for your plan. Refunds, chargebacks and disputes with your clients are yours to handle with Stripe.
7. Acceptable use
You agree not to, and not to let anyone else:
- Use the Service for anything unlawful, fraudulent or deceptive
- Send spam, or texts or emails without the consent the law requires
- Upload malware, or content you don't have the right to use
- Try to get into accounts, data or systems that aren't yours, or test, probe or get around our security
- Copy, reverse engineer, resell or build a competing product from the Service
- Scrape the Service or overload it, or use automation outside the API and limits your plan provides
- Share seats, or use the Service to get around fair-use limits on permit reports or other usage
8. Third-party services
PermitLogic connects to services run by other companies, such as QuickBooks, Xero, Stripe and text-messaging providers. When you connect one, you agree to that company's terms, and you authorize us to send and receive the data needed for the connection to work. We don't control those services and aren't responsible for them, for their availability, or for changes they make that affect the connection. You can disconnect a service at any time.
Accounting files and syncs are provided as a convenience. Check them with your accountant before you rely on them.
9. AI features and permit information
PermitLogic includes AI features, such as permit reports and drafting help, and permit information gathered from the rules that towns, counties and states publish. These are informational tools. They are not legal, engineering, architectural or code-official advice, and they can be incomplete, out of date or wrong.
Your local permit office decides what a project needs and whether it is approved. Check requirements with the office before you rely on them, and review anything the AI drafts before you send it to a client or anyone else. You are responsible for the work you do and the documents you send.
10. Availability, support and changes to the service
We work to keep PermitLogic available and fast, but we don't promise it will always be available or free of errors. We may need planned maintenance, and we'll try to schedule it at quiet times and tell you in advance when it's significant.
Support is available by email at [email protected] and by phone at (866) 464-1540, plus the help guide in the app.
We improve PermitLogic all the time, and features may change. If we remove a feature that is a main part of your plan, we'll tell you in advance, and if the change materially reduces what you paid for, you can cancel and we'll refund any fees you prepaid for the period after the change.
11. Confidentiality and security
Each of us may see the other's non-public business information, such as your data, your prices and client lists, or our non-public product plans. Each of us will keep that information confidential, use it only for this agreement, and share it only with people and service providers who need it and are bound to protect it. This doesn't cover information that is public, already known to the receiver, or independently developed, and either of us may disclose information when the law requires it, with notice where allowed.
We use reasonable technical and organizational measures to protect your data, including keeping each company's data separate and limiting access by role. Our Security page describes how. If we learn of a breach that affects your data, we'll tell you without undue delay and as the law requires. You are responsible for securing your own devices and accounts and for the roles and access you give your users.
12. Warranties and disclaimers
We promise that we will provide the Service with reasonable skill and care, and that it will work substantially as described for your plan. If it doesn't, tell us and we'll work to fix it. If we can't within a reasonable time, you can cancel and get a refund of any fees you prepaid for the rest of the period.
Apart from that promise, and to the extent the law allows, the Service is provided “as is.” We disclaim all other warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We don't promise that AI output, permit information or third-party services will be accurate, complete or available.
13. Limitation of liability
To the extent the law allows, neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, even if told they were possible. For us, this includes permit denials, failed inspections, stop-work orders, fines and project delays.
To the extent the law allows, each party's total liability for all claims arising out of or relating to this agreement or the Service is limited to the fees you paid us for the Service in the 12 months before the event that gave rise to the claim.
These limits don't apply to your obligation to pay fees you owe, your obligations under section 14 (Indemnification), or liability that can't be limited by law.
14. Indemnification
You will defend TriLumen Systems against any claim brought by a third party, including your clients, users and anyone you message, that arises from your work, your relationship with your clients, your data, the messages you send, the payments you take, or your use of the Service in breach of this agreement or the law. You will also pay any damages, settlements and reasonable legal fees that result.
We'll tell you promptly about the claim, let you control the defense, and give reasonable help at your expense. You won't settle a claim in a way that admits fault for us or makes us pay without our written agreement.
15. Suspension and termination
This agreement lasts as long as you have a PermitLogic account.
We may suspend all or part of your account if a payment is overdue, if your use is putting the Service, other customers or the public at risk, or if the law requires it. We'll tell you why and, where we can, give you a chance to fix the problem first. We'll restore access once it's fixed.
Either of us may end this agreement if the other seriously breaks it and doesn't fix the breach within 30 days of written notice. We may end it right away for serious misuse, such as fraud, spam or security attacks. You may end it at any time by cancelling, as described in section 4.
When the agreement ends, your access ends, and fees already due stay due. Your data is kept for 30 days for export and then deleted, as described in section 5. Sections that by their nature should continue, such as fees owed, confidentiality, disclaimers, limitation of liability, indemnification and governing law, continue after the agreement ends.
16. Electronic signatures and records
By accepting this agreement, you agree to do business with us electronically. You consent, under the federal Electronic Signatures in Global and National Commerce Act (ESIGN Act) and Pennsylvania's Uniform Electronic Transactions Act, to:
- Accept this agreement, and any updated version of it, by ticking a box or clicking a button, which counts as your signature
- Receive this agreement, receipts, invoices, renewal and price-change notices, and other records and notices from us electronically, by email, in the app or in Settings → Billing, instead of on paper
This consent covers your PermitLogic account and all records related to it. To access and keep these records, you need a current web browser or the PermitLogic app, an email address, and the ability to view, save or print PDF files. Please keep your email address up to date in Settings. If our requirements change in a way that could stop you from accessing records, we'll tell you.
You can ask for a paper copy of any record, at no charge, by emailing [email protected] or writing to us at the address in section 20. You can withdraw your consent to electronic records the same way. Withdrawing doesn't affect records already provided or signed. Because PermitLogic is an online service, if you withdraw consent we may not be able to continue providing it, and we may close your account as described in section 15.
17. Changes to this agreement
We may update this agreement from time to time. Each version has a version number and effective date at the top of this page. If we make a material change, we'll tell you by email or in the app at least 30 days before it takes effect, unless the change is required by law sooner. We may ask you to accept the new version in the app. If you don't agree to a change, you can cancel before it takes effect. If you keep using the Service after the change takes effect, the new version applies.
18. Governing law and disputes
This agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law rules.
If a dispute comes up, contact us first at [email protected] and we'll try in good faith to resolve it within 30 days. If we can't, either of us may bring the dispute only in the Court of Common Pleas of Luzerne County, Pennsylvania, or in the United States District Court for the Middle District of Pennsylvania, and both of us agree to those courts' jurisdiction. Either of us may still ask any court for urgent relief to protect confidential information or intellectual property.
19. General
Entire agreement. This agreement, together with our Terms of Service and Privacy Policy, is the entire agreement between us about PermitLogic. If they conflict, this agreement controls for your PermitLogic subscription. If you sign an order form with us, it applies too and takes priority where it differs.
Assignment. You may not transfer this agreement without our written consent, except to a business that takes over all or most of your business. We may transfer it to a business that takes over all or most of ours, and we'll tell you if we do.
Force majeure. Neither of us is responsible for delays or failures caused by events beyond reasonable control, such as natural disasters, power or internet outages, outages at our hosting or service providers, labor disputes or government action. This doesn't excuse paying fees that are due.
Severability. If a court finds part of this agreement unenforceable, that part is changed as little as needed to make it enforceable, and the rest stays in effect.
No waiver. If either of us doesn't enforce a part of this agreement right away, we can still enforce it later.
Notices. We'll send notices to the email address of your account owner, or show them in the app. Send notices to us at [email protected]. A notice by email counts as given when it's sent.
Relationship. We are independent businesses. This agreement doesn't make either of us the other's partner, employee or agent.
